ANGWIN WATER COMPANY BOARD CONFLICT RESOLVED
Negotiated Settlement Avoids Potential Legal Actions
All but one of the parties involved in the governance of the Howell Mountain Mutual Water Company have reached agreement on a plan for who shall serve on the Board of Directors of the Angwin water company.
Roger Lutz, Jr., subscribed to the agreement under which he will serve until the time of a new election, to be held in about 45 days. Adam Pease and Patrick Reeves, concurring with the terms of the agreement, will resign immediately. Doug Ermshar, as noted, declined to accept the definitive terms of the compromise agreement and opted for an immediate resignation instead.
The four remaining directors - Richard Crain, Mike Hogan, Doug Bock and Marie Carlton accepted the plan which provided that they serve out their original terms. An election will be held early in February to fill the remaining three seats on the seven-member Board.
A Nominating Committee consisting of a recently created Blue Ribbon Committee and the four members of the reconstituted Board will be seeking candidates for those three vacancies. Richard Voth will serve as chairman. The hope is to bring new members onto the Board who will undertake their duties in a new start.
The arrangement for a reconstituted Board was drafted by the Blue Ribbon Committee whose members are Duane Dice, David Dickson, Duane Cronk, Virgil Morris, Adam Pease and Richard Voth. It was approved by all of the Board members involved (except as noted above) and by representatives of the Save Angwin Water Committee.
David Dickson, chairman of the Committee, expressed approval of the outcome. "Our committee was created to research the short-range and long-range financial problems of the company and to explore options to resolve them. But we were brought to the realization from the first day that disagreement over who was legally on the Board would frustrate our efforts. We realize that this resolution will not please everyone, but it reflects very honorable compromises from everyone directly involved."
The Blue Ribbon Committee is completing its primary task on the financial situation and will be reporting its findings and recommendations to the membership and the sitting Board within the next few weeks, Dickson said.
